Payment for shares transferred shall be made in cash, by contribution in kind or by set-off. During the course of a debt-equity swap, the non-performing loans will be contributed to the target company as a contribution in kind in exchange for the issuance of new shares that are issued in connection with the increase in the target's capital. Upon transfer in accordance with item 2 above, payment may be made by way of contribution in kind (by way of contribution) or by way of set-off against claims in the company. |
