The complete text of the Delaware General Corporation Law is included, along with discussions of recent decisions by the Delaware Supreme Court and the Delaware Court of Chancery.
According to the ruling, Target would merge with, and into, the SMLLC (for valid business reasons) under the state General Corporation Law and Limited Liability Company Act, with the SMLLC surviving.
One narrow view is that aspects of the Delaware General Corporation Law tend to reduce shareholder wealth by "entrenching" management.
